This Agreement is a contract between you ("Customer," "you," or "your") and CxSoftware ("CXS," "we," "us," or "our"). It governs your purchase and use of CxSoftware software and related services, including CXLoader ("CXL").
Please read this Agreement carefully before downloading, purchasing, or using CXL. By downloading, purchasing, or using CXL, you acknowledge that you have read, understood, and agreed to this Agreement. If you do not agree to these terms, you may not download or use CXL.
1. Definitions
CXS: CxSoftware, the service provider.
CXL: CXLoader, the software product provided by CXS.
Customer: The individual or entity purchasing or using CXL.
2. Disclaimer of Warranties
CXL and all related materials and services are provided "AS IS" and "AS AVAILABLE," to the fullest extent permitted by applicable law.
CXS and its suppliers disclaim all warranties, express or implied, regarding CXL or its related services, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
CXS does not guarantee that CXL will be uninterrupted, error-free, compatible with all hardware or software configurations, or available at all times.
Nothing in this Agreement excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable law.
3. Limitation of Liability
To the fullest extent permitted by applicable law, CXS and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to CXL or its use or inability to use CXL, including, without limitation, loss of game items, virtual items, accounts, data, profits, or other losses.
CXS is not responsible for account restrictions, bans, suspensions, cooldowns, untrusts, or other penalties imposed by Valve Anti-Cheat (VAC), Easy Anti-Cheat (EAC), game developers, game publishers, game servers, or other third parties as a result of using CXL.
The Customer is solely responsible for understanding and accepting the risks associated with using CXL.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.
4. Purchases and Subscriptions
4.1 Payments and Refunds
Except where otherwise required by applicable law or expressly provided below, payments are non-refundable.
Unauthorized chargebacks are prohibited. If a Customer initiates an unauthorized chargeback, CXS reserves the right to suspend or terminate the Customer's account and access to CXL.
A refund or other remedy may be considered where the Customer is unable to use CXL due to a hardware-identification issue or a software-compatibility issue attributable to CXS.
4.2 Subscription Period
Once a subscription has been purchased, the Customer may use CXL until the subscription expiration date, provided that the Customer complies with this Agreement.
4.3 Service Interruptions
CXS may, at its discretion, restore subscription time lost due to maintenance, outages, or hardware or software failures affecting CXL or CXS infrastructure.
4.4 Payment Processing
If the automated payment system is unavailable, Customers should first verify whether the issue is caused by maintenance or an outage affecting the applicable payment provider.
4.5 Authorized Payment Methods
CXS accepts payments only through payment methods officially listed on the CXS website or official CXS Discord server. Payments made through unofficial or unlisted methods are not recognized or guaranteed by CXS.
5. Use of CXL
CXL is intended for use on locally hosted game servers owned or controlled by the Customer. The Customer is responsible for ensuring that their use of CXL complies with all applicable laws, regulations, game rules, server rules, and third-party terms.
The Customer assumes full responsibility for their actions when using CXL and for any consequences arising from those actions.
CXS is not responsible for any actions taken by the Customer or for any losses resulting from the Customer's use or misuse of CXL.
6. License and Permitted Use
Subject to this Agreement and payment of the applicable subscription fee, CXS grants the Customer a limited, personal, non-exclusive, non-transferable, revocable license to use CXL during the applicable subscription period.
The Customer may:
Download CXL to their own computer.
Store CXL on their computer or removable storage for their own use.
Create promotional or other media relating to CXS or CXL, provided that such media does not violate this Agreement or intentionally misrepresent CXS or CXL.
Request a Steam ID reset where supported by CXS, including when changing Steam accounts.
The Customer may not:
Distribute, sell, rent, lease, sublicense, or otherwise provide CXL to any third party.
Share their CXL executable with another person, except where CXS has expressly authorized such sharing in writing.
Modify, alter, patch, or otherwise tamper with CXL.
Spoof or manipulate protocols or network traffic used by CXL or an injected game process.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying functionality of CXL or any injected game component, except to the extent such restriction is prohibited by applicable law.
Run CXL in a sandbox, virtual machine, or similar environment where prohibited by CXS.
Perform malicious, fraudulent, or illegal activities against CXS, including denial-of-service or distributed denial-of-service attacks, network-traffic attacks, or similar activity.
Create media intentionally designed to materially misrepresent CXS or CXL, including through knowingly false claims or fabricated evidence.
Initiate unauthorized chargebacks.
Resell, transfer, or otherwise provide their CXS account to another person.
Impersonate CXS members, moderators, developers, or other users.
Fabricate or manipulate data or evidence relating to CXS, CXL, or other CXS/CXL users.
Use CXL for any unlawful purpose or in violation of applicable third-party terms.
7. Account and Service Suspension or Termination
CXS reserves the right to suspend or terminate a Customer's account or access to CXL if CXS reasonably believes that the Customer:
Has violated this Agreement;
Has engaged in fraud or attempted fraud;
Has engaged in illegal or malicious activity;
Has abused an exploit, vulnerability, or system fault;
Has initiated an unauthorized chargeback;
Has attempted to circumvent CXS security or licensing systems; or
Has otherwise abused the CXS service.
CXS may also refuse service to a Customer where permitted by applicable law.
Unless otherwise required by applicable law, suspension or termination resulting from a violation of this Agreement does not entitle the Customer to a refund.
Where reasonably practicable, CXS may provide notice of suspension or termination, but notice is not required where immediate action is reasonably necessary to protect CXS, its infrastructure, other customers, or third parties.
8. Usage and Privacy
CXS may collect and process information relating to the use of CXL for purposes including statistics, diagnostics, security, fraud prevention, licensing, and service improvement.
CXS will handle personal information in accordance with its applicable Privacy Policy.
CXS will not intentionally make a Customer's private information publicly available except where required by law or otherwise permitted by the applicable Privacy Policy.
9. Support and Updates
Customers with an active subscription receive technical support and, where applicable, updates for CXL until the expiration or termination of their subscription.
Customers may contact CXS to report bugs or request technical assistance.
Support requests should:
Be submitted through the official CXS support/feedback form or official CXS Discord server.
Describe the issue clearly and in sufficient detail.
Include relevant screenshots, videos, logs, or other information where reasonably available.
CXS may decline or limit support for requests involving:
Insufficient information to investigate the issue;
Issues that occur only on a particular third-party server;
Features or behavior that are not bugs;
Unsupported external software;
Abuse of known exploits or system faults;
Questions unrelated to technical support;
Spam, duplicate, or non-actionable requests;
Improper use of the support system; or
Conduct that violates reasonable standards of professional communication.
CXS may temporarily or permanently restrict a Customer's ability to submit support requests if the Customer repeatedly abuses the support system.
Support requests should not be sent to individual CXS members through direct messages unless a CXS representative specifically instructs the Customer to do so.
10. Third-Party Services and External Resources
CXS may provide links to third-party websites or services for convenience.
CXS does not control or endorse third-party websites or services and is not responsible for their content, availability, security, privacy practices, or policies.
Use of third-party websites and services is at the Customer's own risk and may be subject to separate terms and policies established by those third parties.
11. Changes to This Agreement
CXS may modify this Agreement from time to time.
The updated version will be posted through the applicable official CXS website or service. Where required by applicable law, CXS will provide notice of material changes.
Your continued use of CXL after the effective date of an updated Agreement constitutes acceptance of the updated terms, to the extent permitted by applicable law.
12. Severability
If any provision of this Agreement is determined to be invalid or unenforceable by a court or other authority of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
13. Entire Agreement
This Agreement constitutes the entire agreement between CXS and the Customer regarding the use of CXL and supersedes prior agreements or understandings concerning the same subject matter, except for any separate terms expressly incorporated into this Agreement.
14. Applicable Law
This Agreement is subject to the applicable laws of the jurisdiction in which CXS is established, except to the extent that applicable consumer-protection or other mandatory laws provide otherwise.

By downloading, purchasing, or using CXL, you acknowledge that you have read and agreed to this Agreement.
